Limited Offer Terms & Conditions

1. Offer Overview

This Limited Offer applies to customers who activate an eligible XOAP subscription by March 31, 2026. Eligible customers receive the Deployment Assurance Package (standard value €5,000) at no additional cost, together with a 30-day implementation guarantee for one agreed automation or infrastructure challenge. This offer is available to new XOAP customers purchasing an annual subscription only, unless otherwise agreed in writing.

2. What the 30-Day Implementation Guarantee Means

For the purposes of this offer, “implementation completed” or “challenge solved” means that:

• The scope of work defined and agreed during the onboarding phase has been delivered to an operational or demonstrable state.
• The agreed outcome has been validated jointly by XOAP and the customer.

“Demonstrable state” means that the solution can be reviewed, tested, or validated in a non-production or agreed environment. The guarantee applies only to the scope explicitly agreed during the onboarding phase. The scope is considered agreed only once it has been explicitly confirmed by both parties in writing (including email or documented meeting summary).

3. Included Scope

As part of this offer, XOAP will work with the customer to complete one (1) defined challenge within 30 calendar days, such as:

• Migration to a new OS version (e.g. Windows 11) or cloud provider (e.g. Azure Virtual Desktop, AWS Workspaces)
• Compliance remediation (e.g. CIS, STIG, BSI SiSyPHuS)
• Cloud account hardening (Azure, AWS, Google Cloud)
• Automated Image build pipeline setup (Azure, AWS, Google Cloud, vSphere, Nutanix)
• Standardized application packaging and deployment (PSADT v3 or v4)

Other use cases may be eligible if confirmed by XOAP during onboarding. Any additional work, expanded scope, or change requests are out of scope for this offer and may require a separate agreement or adjusted timeline. The included scope refers exclusively to the challenge agreed in accordance with Section 4.

4. Subscription Activation & Onboarding

To activate the offer, the customer must:

1. Book and complete an onboarding session by March 31, 2026.
2. Activate the annual XOAP subscription.
3. Select the challenge to be addressed under this offer during the onboarding phase.

The 30-day implementation period begins only after the scope of work has been fully defined and explicitly agreed by both XOAP and the customer, and all Technical Requirements are met. The Implementation Start Date is the date on which the scope of work has been explicitly agreed in writing by both parties.

Scope definition may require more than one onboarding session and/or follow-up written communication. Time spent defining or refining the scope does not count toward the 30-day implementation period.

Non-Binding Onboarding: The onboarding session is exploratory and non-binding for both the customer and XOAP. Either party may decide not to proceed for any reason during or after onboarding. In such a case, no obligation to continue the implementation arises, and no fees will be charged under this offer.

5. Customer Responsibilities & Technical Prerequisites

The customer is responsible for:

• Providing timely access to required systems, cloud accounts, and environments.
• Supplying accurate information, credentials, and documentation.
• Making relevant stakeholders available for approvals and validations.

Delays caused by missing access, unavailable personnel, incomplete information, or inaccurate inputs are excluded from the 30-day guarantee.

The customer must meet XOAP’s technical prerequisites, as listed in the Limited Offer Technical Requirements, prior to the start of implementation. Customers who do not currently meet these requirements may still claim the offer, but all prerequisites must be satisfied before implementation can begin.

6. Exclusions

The 30-day guarantee does not apply to delays or limitations caused by:

• Third-party platforms, vendors, or cloud providers.
• Regulatory bodies or external audits.
• Force majeure events.
• Customer-requested scope changes after onboarding.

XOAP may pause the 30-day implementation period if progress is blocked due to customer dependencies or unresolved prerequisites. Any such pause suspends the calculation of the 30-day period until the blocking issue is resolved.

Business outcomes, performance metrics, production availability, or service-level guarantees are beyond the scope covered by this offer.

Third-party fees, consumption-based cloud costs, or services outside the Deployment Assurance Package are not included in this offer.

7. Cancellation Right

Opt-Out Before Implementation Start: The customer may opt out of this Limited Offer at any time before implementation starts, defined as the point at which the scope of work has been explicitly agreed in writing by both parties. In such cases, no implementation will take place and no fees will be charged under this offer.

After Implementation Start: Once implementation has started, the Limited Offer cannot be opted out of and no refunds will be provided under this offer, except as explicitly stated below.

Failure to Meet the Guarantee: If XOAP is unable to complete the agreed scope within 30 days due to reasons solely attributable to XOAP, the customer may cancel the subscription during the initial billing period and will not be charged any subscription fees. This cancellation right applies exclusively to the subscription fees associated with this offer and does not cover third-party costs or out-of-scope services.

General Subscription Cancellation: The customer may cancel their XOAP subscription at any time in accordance with XOAP’s standard T&C. In such cases, only fees accrued up to the effective date of cancellation will be charged.

8. Value Statement

The Deployment Assurance Package is provided free of charge under this offer and has a standard value of €5,000, based on XOAP’s standard pricing.

9. General

• This offer is valid until March 31, 2026 and may be withdrawn or modified before activation.
• XOAP reserves the right to decline a proposed challenge if it is deemed technically infeasible or incompatible with the offer.
• The 30-day implementation guarantee may be used once per customer.
• This offer may not be combined with other promotions unless explicitly stated.

The offer is subject to XOAP’s Terms & Conditions, which shall prevail in the event of any conflict.
